Entrants submit an original film or video composition on DVD for consideration to the MovieFlix.com Film Showcase for display on The MovieFlix.com website http://www.movieflix.com. DVD's shall not be returned to owner, MovieFlix.com requests that a copy be sent for submission.

It is an express condition of entry and eligibility that each entrant: (i) grant to MovieFlix.com a non-exclusive, irrevocable license to display and distribute the submission on the MovieFlix.com website and (ii) warrants and represents that the entrant has acquired and shall maintain all rights and licenses necessary in connection with all uses of the submission to MovieFlix.com in connection with the MovieFlix.com Show Case including without limitation all copyrights, trademarks, patents, music synchronization rights, music performing rights, master music performing rights, still photography, film and videotape footage rights. Entrant further represents and warrants that the submission and any use thereof in connection with MovieFlix.com and the MovieFlix.com Film Showcase and the advertising, promotion and publicity thereof, shall not infringe upon any statutory or common law copyright and shall not constitute a defamation, or invasion of the right of privacy or publicity, or infringement of any other right of any kin of any third party.

Subject to the terms and conditions of this Agreement, ENTRANT hereby grants to MovieFlix.com a irrevocable worldwide non-exclusive royalty free license, with an unlimited right to sublicense, to reproduce, distribute, publish, publicly display, [including pay for view and syndication] digitally perform, modify and sublicense the ENTRANT's submitted materials, provided, however, that any and all modifications to the content of ENTRANT's materials shall be limited solely to preparing translations and modifying the formatting and presentation of the content to fit the format, look and feel of the websites from which MovieFlix.com will be streaming. In no event shall any substantive editorial or other changes be made in the content of the materials submitted by ENTRANT.

ENTRANT represents and warrants that all rights, [including but not limited to any copyrights, patent rights or other intellectual property rights] arising out of or relating to film, video and/or other matter submitted for showcasing on MovieFlix.com, are either owned by the ENTRANT or the ENTRANT has full authority from each owner of each such right to allow to MovieFlix.com serve such materials on its SITE. The ENTRANT hereby agrees to defend, indemnify, and hold MovieFlix.com, its directors, officers, employees, and agents harmless from any and all claims, damages, and expenses [including attorney's fees and costs] of any nature arising out of or relating to any breach of the foregoing warranties or the serving of the materials, including but not limited to claims based on invasion of privacy, right of publicity, libel, copyright or trademark infringement, or other causes of action.
